1. Introduction

These Terms & Conditions of Business ("Agreement") set forth the terms and conditions under which

using the Company's services, the Client agrees to be bound by the terms and conditions set forth in
this Agreement.

2. Services

The Company agrees to provide recruiting services to the Client, including but not limited to the

a. Identifying and screening candidates for open positions within the Client's organization.

b. Conducting interviews and reference checks of potential candidates.

c. Providing the Client with a list of potential candidates for open positions.

d. Assisting the Client in negotiating employment terms with selected candidates.

3. Fees

The Company's fees for its recruiting services shall be as agreed upon with the Client in writing. The
fees are payable upon the Client's acceptance of a candidate referred by the Company.

4. Confidentiality

The Company agrees to maintain the confidentiality of all information provided by the Client,
including but not limited to job descriptions, candidate information, and any other confidential
information.

5. Warranty

The Company warrants that it will provide its recruiting services in a professional and competent
manner. However, the Company makes no guarantee as to the suitability of any candidate for a
particular job or position.

6. Limitation of Liability

The Company shall not be liable to the Client for any indirect, special, consequential, or incidental
damages arising out of or in connection with this Agreement, even if the Company has been advised
of the possibility of such damages.

7. Termination

Either party may terminate this Agreement upon written notice to the other party. Upon
termination, the Client shall pay all fees due to the Company for services rendered up to the date of
termination.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [state or
country], without regard to its conflicts of law provisions.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior

For example, if the client hires a candidate referred by the recruiting company for a position with an
annual salary of $100,000, and the contingency fee is 20%, the recruiting company would charge the
client a fee of $20,000 (i.e., 20% of $100,000).

2. Retainer Fee

Under a retainer fee arrangement, the recruiting company charges the client an upfront fee for its
services, regardless of whether the client hires a candidate referred by the recruiting company. The
retainer fee is usually a percentage of the total estimated fee for the recruiting services, which can
be negotiated between the recruiting company and the client.

For example, if the total estimated fee for the recruiting services is $50,000, and the recruiting
company and the client agree on a retainer fee of 30%, the recruiting company would charge the
client an upfront fee of $15,000.

3. Hourly Fee
